Plus: A mega insurance deal
Hi ZipLawyer! It's Christmas eve eve (weeee!)
P.S. This is a new daily format we're looking to introduce, if you like it, let us know by voting at the end of this email.
Silicon Valley Joins Defence Race
Palantir and Anduril are rallying tech giants like SpaceX and OpenAI to form a defence-tech consortium. The goal? To shake up how the U.S. government, with its $850bn defence budget, sources cutting-edge weapons and AI capabilities. Wars in Ukraine, the Middle East, and tensions with China are driving demand for advanced military tech. Start-ups in the sector are booming, drawing record investment as they aim to outpace traditional contractors like Lockheed Martin and Boeing.
Aviva to Acquire Direct Line
Aviva Plc is set to buy Direct Line Insurance Group Plc for £3.7 billion, creating the UK’s largest motor insurer. The deal values Direct Line shares significantly above recent trading prices and will give Aviva an 87.5% stake in the company. Expected to close by mid-2025, the acquisition will double Aviva’s market share in motor insurance, overtaking Admiral. While subject to regulatory approval, the deal strengthens Aviva’s position in the UK insurance market as it continues its expansion strategy.
UK Nears Recession
The UK is teetering on recession, with GDP growth flatlining in Q3 2024 after a revision of earlier figures. The Office for National Statistics (ONS) really knows how to spread Christmas vibes. Living standards fell, and experts fear another quarter of contraction could push the country into a technical recession. Chancellor Rachel Reeves vowed to push harder in response to the bleak news. Rising economic challenges are a growing concern as the country battles stagnation and declining household prosperity.
Sky Wins Appeal on Roof Damage
Sky won a Court of Appeal ruling allowing claims for ongoing roof damage after insurance policies expired. Insurers—RiverStone, Aspen, Royal & Sun, HSB, and Berkshire Hathaway, advised by DAC Beachcroft—argued liability only covered damage during the policy period. The court rejected this, stating policies cover post-policy consequences unless excluded. Herbert Smith Freehills acted for Sky, and Clyde & Co for contractor Mace. The case returns to the High Court to determine damages, with Sky initially seeking £138m.
MoD Buys Back Military Homes
The Ministry of Defence is repurchasing 36,347 military homes from Annington, owned by Terra Firma, for £6 billion, saving taxpayers £600,000 daily by eliminating a £230m annual rent bill. The deal, closing on 9 January, settles High Court disputes over the Leasehold and Freehold Reform Act 2024. The reacquisition addresses an £8bn financial loss from the 1996 sale. Slaughter and May and Forsters LLP advised the MoD, while Linklaters and Eversheds Sutherland acted for Annington.
Term of the Day
Panama Canal: A vital man-made waterway in Central America linking the Atlantic and Pacific Oceans, the Panama Canal reduces shipping time and costs. Built by the U.S. in 1914, it was transferred to Panama in 1999.
Donald Trump described the tolls for using the Panama Canal as “ridiculous,” suggesting that unless the "rip-off" ends, the canal should be handed back to America. The canal, built by the U.S. in the early 1900s, was transferred to Panamanian control in 1999. Trump also expressed concern about China's role, arguing that the world’s second-largest user of the canal after the U.S. should have no hand in its operation.
